Terms and Conditions | On Top Packaging Ltd – Small Giants in UK Packaging

At On Top Packaging Ltd, we are committed to fair and clear partnerships. This UK compliant terms and conditions document applies to the purchase of goods between you, the Customer, and On Top Packaging Ltd. It explains the rules and responsibilities for both sides.

1. Application and Entire Agreement

These Terms and Conditions apply to the purchase of the goods detailed in our quotation (Goods) by you, the buyer (you or Customer), from On Top Packaging Ltd, a company registered in England and Wales under number 14922725, with a registered office at 14 Alfred Smith Way, Legbourne, Lincolnshire, LN11 8NE (we, us, or Supplier).

These Terms and Conditions apply when you accept our quotation or upon delivery of the Goods, whichever happens first. They constitute the entire agreement between us and you.

These Terms and Conditions and the quotation (together, the Contract) apply to the purchase and sale of any Goods between us and you, to the exclusion of any other terms that you try to impose or incorporate, or which are implied by trade, custom, practice, or course of dealing.

2. Interpretation

A “business day” means any day other than a Saturday, Sunday, or bank holiday in England and Wales.

The headings in these Terms and Conditions are for convenience only and will not affect their interpretation.

Words imparting the singular number include the plural and vice versa.

3. Goods

The Goods are the packaging products described in our sales documentation. Details of the Goods are subject to alteration without notice and do not constitute a contractual offer capable of acceptance.

We aim to use eco-friendly materials in our Goods where possible, in line with our sustainability commitments.

4. Price

The price of the Goods (Price) is set out in our quotation at the date of your order or as otherwise agreed in writing.

If the cost of the Goods to us increases due to factors beyond our control (e.g., material costs, labour costs, exchange rates, duties, or delivery rates), we may increase the Price before delivery. We will inform you of any price increase before it takes effect.

You may be entitled to discounts at our discretion.

The Price does not include fees for packaging, transportation, or delivery.

The Price does not include VAT or other taxes or levies imposed by any competent authority.

5. Cancellation and Alteration

Our quotation (including any non-standard price negotiated) is valid for 10 days from the date shown, unless we withdraw it earlier.

Either of us can cancel the order for any reason before you accept or reject the quotation.

Once you accept the quotation, cancellation or alteration of the order is only possible with our written agreement. We may charge for any costs incurred due to cancellation or alteration after acceptance.

6. Payment

We will invoice you for the Price either:

– On or at any time after delivery of the Goods; or

– If the Goods are to be collected by you, or if you wrongfully do not take delivery, at any time after we notify you that the Goods are ready for collection or we have attempted delivery.

You must pay the Price within 30 days of the date of our invoice, or as per any credit terms agreed between us.

You must make payment even if delivery has not taken place or if the title in the Goods has not passed to you.

If you do not pay within the period above, we will suspend further deliveries and charge interest at 5% per annum above the Bank of England’s base rate on the outstanding amount until paid in full, without limiting our other rights or remedies.

Time for payment is of the essence of the Contract between us and you.

All payments must be made in British Pounds unless otherwise agreed in writing.

Both parties must pay all amounts due under these Terms and Conditions in full without deduction or withholding, except as required by law, and neither party may assert any credit, set-off, or counterclaim to justify withholding payment.

7. Delivery

We will arrange delivery of the Goods to the address specified in the quotation, your order, or another location agreed in writing.

If you do not specify a delivery address or if we agree, you must collect the Goods from our premises.

Subject to any special delivery service terms, delivery can take place at any time of the day and must be accepted between 8 am and 8 pm.

If you do not take delivery of the Goods, we may, at our discretion and without prejudice to other rights:

– Store the Goods and charge you for associated costs (e.g., transportation, storage, insurance); and/or

– Arrange redelivery and charge you for the costs of redelivery; and/or

– After 10 business days, resell or dispose of the Goods and charge you for any shortfall below the Price.

If redelivery is not possible, you must collect the Goods from our premises after we notify you. We may charge you for associated costs, including storage and insurance.

Delivery dates are approximate, and the time of delivery is not of the essence. We are not liable for delays caused by circumstances beyond our control or your failure to provide adequate delivery instructions.

We may deliver the Goods in instalments, which will be invoiced and paid for separately. Each instalment is a separate contract. Delays or defects in one instalment do not entitle you to cancel other instalments.

8. Inspection and Acceptance of Goods

You must inspect the Goods on delivery or collection.

If you identify damages or shortages, you must inform us in writing within 7 days of delivery, providing details.

We will only accept returned Goods if we are satisfied they are defective and, if required, after an inspection, unless otherwise agreed.

If you comply with this clause, you may return the Goods, and we will repair, replace, or refund them as appropriate.

We are not liable for the Goods if:

– You fail to provide notice as stated above; and/or

– You use the Goods after giving notice of damages
